Terms of Use

1. Acceptance of Terms
These Terms of Use (“Terms”) constitute a binding agreement between you (“you” or “User”) and The Human Intelligence School (“The School”, “we”, “our”, or “us”). These Terms govern your access to and participation in all educational programs, services, content, events, and websites offered by The School (collectively, the “Services”).
By registering for, accessing, or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you are not authorized to use or participate in the Services.
2. Eligibility
The Services are intended for adults. By accessing or using the Services, you represent and warrant that you are at least 18 years of age and legally capable of entering into binding contracts in your jurisdiction.
No Services are directed to persons under 18 years of age.
3. Modification of Terms
We reserve the right, in our sole discretion, to revise or update these Terms at any time. Updates will be effective upon posting to our website. Your continued use of the Services after such posting constitutes acceptance of the revised Terms.
4. Accounts and Security
You may be required to create an account to access certain Services. You agree to maintain accurate, current, and complete information.
You are responsible for safeguarding your credentials and for all activity under your account.
You must notify us immediately if you suspect unauthorized access.
The School disclaims liability for any unauthorized access arising from your failure to secure your credentials.
5. Educational Services and Enrollment
Enrollment in courses, workshops, or programs may be subject to separate agreements (e.g., enrollment contracts, refund policies, or academic policies).
We reserve the right to cancel, modify, or discontinue any Service at any time, including course content, instructors, schedules, or delivery methods.
Certain programs may be subject to applicable professional, provincial, or federal regulatory requirements.
6. Student Conduct
Users must:
Act professionally and respectfully in all learning environments.
Refrain from harassment, discrimination, or disruptive conduct.
Comply with all School policies, including codes of conduct, academic integrity, and professional standards.
Violation of these obligations constitutes a material breach of these Terms and may result in suspension or termination of access to Services without refund.
7. Intellectual Property Rights
All course materials, curriculum, content, websites, software, images, videos, and related materials (“Content”) are owned by The School or its licensors and protected by intellectual property law.
You are granted a limited, revocable, non-transferable license to access and use Content for your personal educational purposes only.
Reproduction, distribution, recording, modification, or commercial exploitation of any Content without prior written consent is strictly prohibited.
Unauthorized use may result in immediate termination of access and legal action.
8. Fees, Payments, and Financial Aid
All fees must be paid in accordance with enrollment agreements.
Scholarships, discounts, or financial aid have no cash value, are non-transferable, and must be used within the specified timeframe.
Refunds, if any, are governed by enrollment agreements and applicable law.
9. Privacy and Data Use
Personal information collected is governed by our Privacy Policy, incorporated by reference into these Terms.
Instructors and staff may contact you using provided information solely for program delivery purposes.
Misuse of personal information by staff or students should be reported immediately.
10. User Content and Student Work
Any content you submit (projects, assignments, discussions, or feedback) remains your property.
By submitting content, you grant The School a non-exclusive, worldwide, royalty-free license to use, display, adapt, and promote such content for academic, marketing, or quality assurance purposes, subject to applicable privacy law.
You warrant that you have rights to any content you submit and indemnify The School against claims arising from such content.
11. Electronic Communications
By registering or using the Services, you consent to receive electronic communications from The School, including notices, updates, promotional materials, and administrative messages. You may withdraw consent at any time by following opt-out instructions, though certain essential communications may still be required.
12. Publicity Rights
Unless you notify us in writing otherwise, you consent to the use of your name, likeness, testimonials, and professional information for marketing and promotional purposes related to The School’s Services, without compensation.
13. Suggestions and Feedback
Any suggestions, ideas, or feedback you provide regarding the Services (“Feedback”) may be used by The School without restriction. By providing Feedback, you grant The School a perpetual, worldwide, royalty-free license to use it for any purpose without attribution or compensation.
14. Third-Party Websites and Services
The Services may include links to third-party websites or resources. The School does not endorse and is not responsible for such external content or services. You assume all risks arising from your use of third-party websites.
15. Disclaimers
YOU EXPRESSLY UNDERSTAND AND AGREE THAT:
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”
WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, COMPLETENESS, RELIABILITY, OR NON-INFRINGEMENT.
PARTICIPATION IN THE SERVICES DOES NOT GUARANTEE CERTIFICATION, EMPLOYMENT, OR SPECIFIC OUTCOMES.
ANY MATERIAL DOWNLOADED OR OBTAINED THROUGH THE SERVICES IS AT YOUR OWN RISK.
16. Limitation of Liability
To the fullest extent permitted by law:
The School and its affiliates shall not be liable for indirect, incidental, special, or consequential damages, including loss of income, profits, goodwill, data, or use.
The School’s maximum liability shall not exceed the greater of (a) $100 CAD or (b) the amount actually paid by you for the Services giving rise to the claim.
17. Indemnification
You agree to indemnify and hold harmless The School, its officers, directors, employees, instructors, contractors, and affiliates from any claims, damages, or expenses (including legal fees) arising from your use of the Services, your breach of these Terms, or your violation of applicable law.
18. Termination
We may, in our sole discretion, suspend or terminate your account and access to the Services immediately if you:
Breach these Terms;
Fail to pay required fees; or
Engage in conduct deemed disruptive, unlawful, or harmful.
We may also refuse to provide Services to you in the future.
19. Governing Law and Dispute Resolution
If your access location is within Canada, these Terms shall be governed by the laws of the Province of Ontario and federal laws of Canada.
If your access location is outside Canada, the laws of Ontario shall still apply, subject to mandatory laws of your jurisdiction.
Arbitration
Except where prohibited by law, any dispute arising from these Terms shall be referred to and finally resolved by binding arbitration in Toronto, Ontario, in accordance with the Arbitration Act, 1991 (Ontario). The arbitration shall be conducted in English by a single arbitrator.
20. General Provisions
These Terms constitute the entire agreement between you and The School regarding the Services.
If any provision is found invalid, the remainder shall remain enforceable.
Our failure to enforce any right shall not constitute a waiver.
These Terms are drafted in English at the express request of the parties.
